Filing a business entity report is required for corporations, LLCs, and Non-profits in the state of Indiana to maintain good standing.
All businesses registered with the Indiana Secretary of State must file a Business Entity Report. This includes Corporations, Limited Liability Companies, Nonprofit Corporations, Limited Partnerships, Limited Liability Partnerships, Benefit Corporations, Business Trusts and Agricultural Cooperatives
Most Indiana businesses are required to file a Business Entity Report every two years (biennially). The due date depends on the month in which your business was originally formed or registered with the state.
If your Business Entity Report is not filed by the deadline, your business may become administratively dissolved or revoked by the Indiana Secretary of State. Once dissolved, the business loses its legal authority to operate and must file for reinstatement to return to good standing.
